Welcome to Knockd. These Terms and Conditions ("Terms") govern your access to and use of the Knockd platform, including the mobile application, web dashboard, and all associated services (collectively, the "Service") operated by TrustEdge ("we", "us", or "our").
By creating an account, downloading the app, accepting an invitation to join a team, or otherwise using Knockd, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms apply to all users of the Service, including agency managers, team administrators, field representatives, and any other individuals who access the platform in any capacity.
For information about how we collect and handle your personal data, please refer to our Privacy Policy at knockd.au/privacy.
2. Definitions

- "Free Plan" means the no-cost tier of the Service available to individual Reps on a solo basis.
- "Rep" means a field sales representative who uses the Service to log door knocks, track performance, and access team features.
- "Content" means any data, information, or material submitted by Users through the Service, including door knock logs, sales outcomes, and profile information.

3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age to independently create an account or use the Service. The Service is intended for business and commercial use by field sales professionals and their employers or agencies. Knockd is not directed at children under the age of 13.
Where a manager or administrator invites a Rep who is under 18 years of age to join a Workspace, the inviting organisation or agency warrants that it has obtained all necessary parental or guardian consents required by applicable law in the relevant jurisdiction, and accepts full responsibility for ensuring the Rep's use of the Service complies with all applicable laws relating to the employment and engagement of minors.
3.2 Account Creation
To use the Service, you must register for an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Notify us immediately at support@knockd.au if you suspect any unauthorised use.
3.3 Invited Users
If you access the Service through an invitation link provided by a manager or administrator, you are joining an existing Workspace. By accepting the invitation and creating an account, you agree to these Terms. Your access may be managed and revoked at the discretion of the Workspace administrator.
Where an invited Rep is under 18 years of age, the Workspace administrator and their organisation acknowledge and accept responsibility for compliance with all applicable laws governing the engagement of minors, including obtaining any required parental or guardian consents prior to the Rep accessing the Service.
3.4 Account Accuracy
You agree to keep your account information accurate and up to date. You may not impersonate any person or entity, or misrepresent your affiliation with any person or entity when using the Service.
4. Subscriptions, Billing, and Payments
4.1 Fees and Commercial Terms
Fees for paid subscriptions (including the Team Plan) are those displayed when you subscribe through the Service via checkout, or, if TrustEdge has agreed different pricing with you, as set out in your Commercial terms (for example a quote or order form you accept).
If any Commercial terms conflict with these Terms solely with respect to fees, amounts charged, billing period, or currency for your Account or Workspace, your Commercial terms prevail to the extent of that conflict. All other provisions of these Terms continue to apply.
Unless your Commercial terms say otherwise, amounts are exclusive of applicable taxes.
4.2 Peak Billing
Billing is based on peak usage. You will be charged for the highest number of active Reps present in your Workspace at any point during the billing period, regardless of whether those Reps were active for the entire period.
4.3 Payment Processing
Paid subscriptions (including the Team Plan) are billed through Stripe via the Knockd website (knockd.au) unless your Commercial terms specify otherwise. Payments are not processed through the Apple App Store or Google Play unless we expressly offer and you accept In-App Purchase for a particular offer. By subscribing, you agree to Stripe's Terms of Service and authorise recurring charges (where applicable) to your nominated payment method.
4.4 Refund Policy
Unless your Commercial terms state otherwise or applicable law requires, fees paid for paid subscriptions are non-refundable. We do not offer refunds, credits, or pro-rata adjustments for partial billing periods, unused features, or early cancellation. This does not affect any rights you may have under applicable consumer protection laws.
4.5 Cancellation
You may cancel your Team Plan at any time through your Workspace settings or by contacting support@knockd.au. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew and your Workspace will revert to Free Plan features.
4.6 Price Changes
Where your fees are set only by checkout defaults (and not fixed for a contract term under written Commercial terms), TrustEdge may change subscription pricing with at least 30 days' written notice to the email address associated with your Account. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. Custom or fixed-term Commercial terms survive until they expire or are renewed as agreed.

8.1 Service Provided As-Is
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.2 Limitation of Liability
To the maximum extent permitted by applicable law, TrustEdge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or loss of goodwill.
Our total aggregate liability to you shall not exceed the total amount paid by you to TrustEdge in the 12 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.
8.3 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)) or any other non-excludable statutory guarantee.
8.4 Indemnification
You agree to indemnify and hold harmless TrustEdge, its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your Content, or your breach of these Terms.
9. Termination and Suspension
9.1 Termination by You
You may stop using the Service and cancel your account at any time. Cancellation of a paid subscription takes effect at the end of the current billing period as described in Section 4.5.
9.2 Termination by Us
TrustEdge reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent or unlawful activity, or for any other legitimate operational reason.
9.3 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. Sections 7, 8, 10, and 11 of these Terms survive termination.
9.4 Workspace Deactivation
If a manager's account is terminated or the Team Plan lapses, Reps in the associated Workspace will lose access to Team Plan features. TrustEdge is not liable for any disruption to your operations resulting from such deactivation.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of South Australia, Australia. You submit to the exclusive jurisdiction of the courts of South Australia and the Federal Court of Australia for resolution of any disputes.

11.2 Entire Agreement
These Terms, together with our Privacy Policy (knockd.au/privacy), constitute the entire agreement between you and TrustEdge with respect to the Service.
11.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
11.4 Waiver
Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce that provision in the future.
11.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TrustEdge may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
